These Terms of Service ("Terms") govern your use of the Nullforge Studio website (nullforge.studio) and the services provided by Nullforge Studio ("we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our website or services. We recommend reviewing this document carefully before proceeding.

By accessing or using our website, submitting a contact form, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We reserve the right to modify these Terms at any time. Continued use of our website after changes constitutes acceptance of the revised Terms.

Pricing

Project pricing will be outlined in the project agreement or SOW. We offer both fixed-price and time-and-materials billing models depending on the nature of the engagement.

Refunds

For fixed-price projects, deposits are non-refundable once work has commenced. For time-and-materials engagements, you are billed for actual hours worked. Refund requests are evaluated on a case-by-case basis and must be submitted within 30 days of the disputed invoice.

5. Intellectual Property

Our IP

All proprietary tools, frameworks, libraries, and code bases developed by Nullforge Studio and not specific to a client project remain our exclusive intellectual property. This includes but is not limited to our internal CMS, design system components, and deployment infrastructure.

Client IP

Upon full payment, the client receives ownership of all project-specific deliverables as defined in the project agreement. Any pre-existing intellectual property we incorporate into the deliverables remains ours and is licensed to the client on a perpetual, non-exclusive basis.

Third-Party Components

Projects may include open-source or third-party licensed components. These components remain subject to their respective licenses. We will disclose all third-party dependencies used in the deliverables upon request.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement ("Confidential Information"). This includes but is not limited to:

Confidentiality obligations survive the termination of any engagement for a period of 24 months unless superseded by a separate Non-Disclosure Agreement.

By Client

The client may terminate a project engagement by providing 14 days written notice. The client will be invoiced for all work completed up to the termination date, plus any non-cancellable commitments made on the client's behalf.

By Nullforge Studio

We may terminate an engagement if the client fails to meet their obligations under these Terms, including but not limited to non-payment, breach of confidentiality, or failure to provide required materials within a reasonable timeframe.

Effect of Termination

Upon termination, all outstanding invoices become immediately due. The client receives deliverables completed up to the termination date, subject to full payment. Sections 5 (Intellectual Property), 6 (Confidentiality), and 7 (Limitation of Liability) survive termination.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through good-faith negotiation first, and if unresolved, submitted to the exclusive jurisdiction of the courts in India.
